Terms of Service

1. Agreement to Terms

By accessing this website or using any services provided by AgenteDirect (operated by 9548-4572 Québec Inc., “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

AgenteDirect provides the HVAC Predictability Engine™ — a done-for-you marketing automation system for HVAC business owners in Quebec. Services include but are not limited to:

• Local demand generation (paid ads, Google profile management)
• Automated lead follow-up and booking via SMS and email
• Review collection and reputation management
• CRM setup and pipeline automation
• Ongoing support and reporting

The specific services delivered to you are defined in a separate Service Agreement signed at the time of onboarding.

3. Eligibility

You must be at least 18 years old and legally authorized to enter into contracts in the province of Quebec to use our services. By using our services, you represent that you meet these requirements.

4. Client Responsibilities

You agree to:

• Provide accurate business information required to set up and operate your campaigns
• Respond to onboarding requests in a timely manner
• Ensure that any contact lists you provide to us contain individuals who have lawfully consented to receive communications under CASL
• Not use our services for any unlawful, deceptive, or abusive purpose
• Keep your login credentials confidential and notify us immediately of any unauthorized access

5. Fees and Payment

Service fees are outlined in your individual Service Agreement. Unless otherwise stated:

• Fees are billed monthly in advance
• All prices are in Canadian dollars (CAD) and subject to applicable taxes
• Late payments may result in suspension of services
• Ad spend and third-party platform costs are separate from AgenteDirect service fees and are the responsibility of the client

6. Cancellation and Refunds

You may cancel your subscription at any time by providing written notice to agentedirect@gmail.com. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial months of service already rendered. Setup fees are non-refundable.

7. Results Disclaimer

While we are committed to delivering results, we cannot guarantee specific outcomes such as a defined number of leads, bookings, or revenue. Marketing results depend on factors outside our control, including your market, service area, competition, and seasonal demand. We will always act in good faith and provide transparent reporting.

8. Intellectual Property

All content, systems, workflows, software, and materials provided by AgenteDirect — including the HVAC Predictability Engine™ — remain the intellectual property of 9548-4572 Québec Inc. You may not reproduce, resell, or distribute our systems or materials without written permission.

Content created specifically for your business (ad copy, landing pages, review request templates) is yours to keep upon full payment of all fees owed.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement, including pricing, system architecture, and business data. This obligation survives termination of the service agreement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, AgenteDirect shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use our services. Our total liability for any claim arising out of these terms shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless AgenteDirect and its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or your misuse of our services.

12. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify active clients of material changes by email. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
